Loui has extensive experience advising corporate clients on Corporations Act 2001 on matters including capital raising activities, takeover issues, annual general meeting notices, share buy backs and general corporate compliance actions.
He has acted as legal adviser to clients partaking in either the acquisition or sale of businesses, managing the transaction process and the preparation of due diligence reports.
Loui has experience preparing and advising on all types of commercial agreements such as heads of agreements, share sale agreements, shareholders agreements management agreements and joint venture agreements.
He also has experience drafting IT procurement contracts, various licensing agreements, agreements for website development, information technology outsourcing arrangements, distribution arrangements, confidentiality agreements and agreements for the development of multimedia internet content.

- Acting for the buyer in the acquisition of a specialised machinery repair, mining services and labour hire company valued at $17million.
- Acting for a start-up technology company in the negotiation of a joint venture agreement and licence agreement for the establishment of a joint venture in Singapore.
- Preparing various public fundraising documents for public companies ranging from junior exploration companies to start up technology companies.
- Undertaking all due diligence activities for the preparation of fundraising documentation.
- Advising a private company on Government Information Technology Contract (GITC) terms and conditions and preparing statement of work for outsourced IT projects.
- Preparation and review of tender documentation for government clients for Information Technology outsourcing activities.
- Part of the team that completed two fast track admissions for two Australian listed companies to the Alternative Investment Market of the London Stock Exchange.
